Governance
Wishing Well is registered with the Charity
Commission for England & Wales. The charity
was established on 4th November 1983,
registration number 326529.
In order to be able to register with the
charity Commission, Wishing Well had to
produce a document called “Declaration of
Trust”, this lays out the aims of the
charity and also gives instructions about
the charity management and decision making
processes. This document therefore is the
rule book for the charity and any changes to
it need to be approved by the Charity
Commission.
Copies of the Declaration of Trust are
available upon request.
Trustee’s
Wishing Well is required to have a minimum
of two serving Trustee’s at any one time.
The Trustee’s are the people that are
legally accountable for the actions of the
charity and they have the power to make all
of the decisions with regards to
fundraising, policies and procedures and use
of the charities assets. Trustee’s serve on
a voluntary basis and are not allowed to use
the charity for personal gain.
In the Declaration of Trust it states that
it is up to the Trustee’s to decide how
frequently they need to hold meetings and it
is up to the Chair person to call a meeting,
giving advanced notice in writing to the
charity Secretary. All trustee meetings need
to have minutes taken and these kept
available should someone request a copy.
Currently there are 5 serving Trustees of
the charity.
The Trustee’s aim to meet on a bi-monthly
basis, although there is no legal
requirement for them to meet so often.
Professional Advisory Board
To facilitate the involvement of more
specialist professionals in the management
of the charity Wishing Well has created a
Professional Advisory Board. This group of
people are all invited by the Trustee’s and
although they do not attend formal meetings,
they receive minutes and papers from all of
the Trustee meetings and are invited to
comment on them. The Professional Advisory
Board members are not legally accountable
for the running of the charity and have no
voting powers but all feedback provided from
them will be considered by the Trustee’s and
included in the minutes of their meetings.
